Terms of Use

Privacy Policy

  • Please read this policy carefully for information relating to Not Your Average Entrepreneur collection, use, and disclosure of your personal information.

Modification of the Terms

  • In the event of a material change, we will provide at least 30 days notice via email or by posting on the Not  Your Average Entrepreneur Site, prior to any new Terms taking effect.
  • What constitutes a material change will be determined at our sole discretion.
  • Please check these Terms periodically for changes.

Not Your Average Entrepreneur Site Access

  • Not Your Average Entrepreneur grants you permission to use the Not  Your Average Entrepreneur Site as set forth in these Terms, provided that and for so long as (i) you use the Not  Your Average Entrepreneur Site solely for your personal use; (ii) except as expressly permitted or indicated in these Terms, you do not download, reproduce, redistribute, retransmit, publish, resell, distribute, publicly display or otherwise exploit any portion of the Not  Your Average Entrepreneur Site in any medium without Not Your Average Entrepreneur prior written authorization; (iii) you do not alter or modify any part of the Not  Your Average Entrepreneur Site other than as may be reasonably necessary to use the Not  Your Average Entrepreneur Site for its intended purposes; (iv) you do not engage in any of the prohibited uses described below; and (v) you otherwise fully comply with these Terms.
  • The Not  Your Average Entrepreneur Site is controlled and offered by Not Your Average Entrepreneur from its facilities in the United States of America.
  • Not Your Average Entrepreneur makes no representations that the Not  Your Average Entrepreneur Site is appropriate or available for use in other locations.

Ownership; Proprietary Rights

  • As between the Parties, the Not  Your Average Entrepreneur Site including the content, visual interfaces, interactive features, information, graphics, design, compilation, computer code, products, software, services,Not Your Average Entrepreneur trademarks and logos, and all other elements of the Not  Your Average Entrepreneur Site that are provided by Not Your Average Entrepreneur (Not Your Average Entrepreneur Materials ) are owned and/or licensed by Not Your Average Entrepreneur.
  • Not Your Average Entrepreneur Materials do not include Non-Not Your Average Entrepreneur Content (as defined below).
  • Except as expressly authorized by Not Your Average Entrepreneur, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Not  Your Average Entrepreneur Site or the Not  Your Average Entrepreneur Materials.

User Submissions

  • In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorise Not Your Average Entrepreneur to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Submissions to enable inclusion and use of User Submissions in the manner contemplated by Not Your Average Entrepreneur and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Submissions,Not Your Average Entrepreneur use of such User Submissions pursuant to these Terms, and Not  Your Average Entrepreneur exercise of the license rights set forth in this Section, do not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) violate any applicable law or regulation.
  • Prohibited Uses of User Submissions.
  • In connection with your User Submissions, you further agree that you will not publish, post, submit, transmit through or otherwise make available to the Not  Your Average Entrepreneur Site: (i) any falsehoods or misrepresentations that could damage Not Your Average Entrepreneur or any third party; (ii) any material which is unlawful, defamatory, libellous, slanderous, pornographic, obscene, abusive, profane, vulgar, sexually explicit, threatening, harassing, harmful, hateful, racially or ethnically offensive or otherwise objectionable, or which encourages conduct that would be considered a criminal offence, give rise to civil liability, violate any law or any right of privacy or publicity, or is otherwise inappropriate; (iii) advertisements or solicitations of business, products, or services; or (iv) any material that would be harmful to minors in any manner.

Non-Not Your Average Entrepreneur Content Disclaimer

  • Under no circumstances will Not Your Average Entrepreneur be liable in any way for or in connection with the Non-Not Your Average Entrepreneur Content, including, but not limited to, for any inaccuracies, errors or omissions in any Non-Not Your Average Entrepreneur Content, any intellectual property infringement with regard to any Non-Not Your Average Entrepreneur Content, or for any loss or damage of any kind incurred as a result of the use of any Non-Not Your Average Entrepreneur Content posted, emailed or otherwise displayed, communicated, transmitted through or in connection with the Not  Your Average Entrepreneur Site, including any information provided by any participant in the Not  Your Average Entrepreneur educational program.

Non-Monitoring of Users and Non-Not Your Average Entrepreneur Content

  • If at any time,Not Your Average Entrepreneur chooses, in its sole discretion, to monitor the Non-Not Your Average Entrepreneur Content,Not Your Average Entrepreneur nonetheless assumes no responsibility for the Non-Not Your Average Entrepreneur Content, no obligation to modify or remove any inappropriate Non-Not Your Average Entrepreneur Content, and no responsibility for the conduct of the user submitting any such Non-Not Your Average Entrepreneur Content.
  • You agree that you must evaluate, and bear all risks associated with the use of any User Submissions or other Non-Not Your Average Entrepreneur Content, including any reliance on the accuracy, completeness, usefulness, or legality of such User Submission or other Non-Not Your Average Entrepreneur Content.

Removal of Non-Not Your Average Entrepreneur Content

  • Not Your Average Entrepreneur and its designees shall have the right (but not the obligation) in their sole discretion to refuse to post or remove any Non-Not Your Average Entrepreneur Content that is available on the Not  Your Average Entrepreneur Site in whole or in part at any time for any reason or no reason, with or without notice and with no liability of any kind.

Account Information

  • You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.
  • If you have reason to believe that your account is no longer secure (for example, in the event of a loss, theft, or unauthorized disclosure or use of your account ID or password), you shall immediately notify Not Your Average Entrepreneur at mailing@fi.co.
  • You may be liable for the losses incurred by Not Your Average Entrepreneur or others due to any unauthorized use of your account.

Prohibited Uses of the Not  Your Average Entrepreneur Site

  • You agree neither to modify the Not  Your Average Entrepreneur Site in any manner or form, nor to use modified versions of the Not  Your Average Entrepreneur Site, including (without limitation) for the purpose of obtaining unauthorized access to the Not  Your Average Entrepreneur Site.
  • You agree that you will not use any robot, spider, scraper, or other automated means to access the Not  Your Average Entrepreneur Site for any purpose without our express written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Not  Your Average Entrepreneur Site.
  • You agree not to utilize framing techniques to enclose any trademark, logo, or other Not Your Average Entrepreneur Materials without our express written consent.

Registered Users

  • If you wish to purchase any product or service made available through the Not  Your Average Entrepreneur Site (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
  • You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
  • the Not  Your Average Entrepreneur Site may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases.

Dealings with Advertisers

  • Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Not  Your Average Entrepreneur Site are solely between you and such advertiser.
  • YOU AGREE THAT Not Your Average Entrepreneur WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS THE RESULT OF ANY SUCH DEALINGS OR AS THE RESULT OF THE PRESENCE OF SUCH ADVERTISERS ON the Not  Your Average Entrepreneur SITE.

Links and Third Party Websites

  • ACCESS AND USE OF REFERENCE SITES, INCLUDING THE INFORMATION, MATERIAL, PRODUCTS, AND SERVICES ON REFERENCE SITES OR AVAILABLE THROUGH REFERENCE SITES, IS SOLELY AT YOUR OWN RISK.
  • Our terms and policies do not govern your use of any site other than the Not  Your Average Entrepreneur Site.
  • You acknowledge and agree that Not Your Average Entrepreneur shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such Reference Sites or content.

Availability of Service

  • Not Your Average Entrepreneur may make changes to or discontinue any of the media, content, or services available within the Not  Your Average Entrepreneur Site or in connection with the Not  Your Average Entrepreneur educational program at any time, and without notice.
  • The media, content or services on the Not  Your Average Entrepreneur Site may be out of date, and Not  Your Average Entrepreneur makes no commitment to update these materials on the Not  Your Average Entrepreneur Site.

User Disagreements

  • Not Your Average Entrepreneur reserves the right, but has no obligation, to monitor disagreements between you and other users.
  • Not Your Average Entrepreneur DISCLAIMS ALL LIABILITY RELATED TO ANY USER DISAGREEMENT.

Terms of Use Violations; Termination

  • You agree that Not Your Average Entrepreneur, in its sole discretion and for any or no reason, may terminate any account (or any part thereof) you may have through the Not  Your Average Entrepreneur Site or your use of the Not  Your Average Entrepreneur Site, and remove and discard all or any part of your account or any User Submission, at any time, regardless of whether you are a Registered User.
  • You agree that your access to the Not  Your Average Entrepreneur Site or any account you may have or portion thereof may be terminated without prior notice, and you agree that Not Your Average Entrepreneur shall not be liable to you or any third-party for any such termination.
  • These remedies are in addition to any other remedies Not Your Average Entrepreneur may have at law or in equity.

Indemnification; Hold Harmless

  • You agree to indemnify and hold harmless Not Your Average Entrepreneur, and its parent, subsidiaries, affiliates or any related companies (including those which share substantially common ownership), and the officers, Local Leaders, employees, agents and representatives of any of them from any and all claims, losses, obligations, damages, liabilities, costs, debt, and expenses (including attorney’s fees) arising out of (i) your use or misuse of the Not  Your Average Entrepreneur Site; (ii) your User Submissions, including Not Your Average Entrepreneur use, display or other exercise of its license rights granted herein with respect to your User Submissions; (iii) your violation of these Terms; (iv) your violation of the rights of any other person or entity, including claims that any User Submission infringes or violates any third party intellectual property rights; (v) your breach of the foregoing representations, warranties, and covenants; and (vi) any unauthorized use of your account not caused by Not Your Average Entrepreneur.
  • Not Your Average Entrepreneur reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us and you agree to cooperate with our defence of these claims.
  • You agree not to settle any matter without the prior written consent of Not Your Average Entrepreneur.

Disclaimers; No Warranties

  • the Not  Your Average Entrepreneur SITE, USER SUBMISSIONS, NON-Not Your Average Entrepreneur CONTENT, AND ANY OTHER THIRD-PARTY MEDIA, CONTENT, SOFTWARE, SERVICES, REFERENCE SITES, OR APPLICATIONS MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH the Not  Your Average Entrepreneur SITE AND/OR the Not  Your Average Entrepreneur EDUCATIONAL PROGRAM ARE PROVIDED ON AN AS IS AND AS AVAILABLE , WITH ALL FAULTS BASIS AND WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  • Website Operation and Non-Not Your Average Entrepreneur Content.
  • Not Your Average Entrepreneur DOES NOT WARRANT THAT THE Not Your Average Entrepreneur MATERIALS, USER SUBMISSIONS, NON-Not Your Average Entrepreneur CONTENT,Not Your Average Entrepreneur SITE, REFERENCE SITE, OR ANY OTHER INFORMATION OFFERED ON OR THROUGH the Not  Your Average Entrepreneur SITE, the Not  Your Average Entrepreneur EDUCATIONAL PROGRAM, OR ANY REFERENCE SITES WILL BE UNINTERRUPTED, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS AND DOES NOT WARRANT THAT ANY OF THE FOREGOING WILL BE CORRECTED.

Limitation of Liability and Damages

  • UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL THEORY, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL Not Your Average Entrepreneur OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, OR THIRD PARTY PARTNERS OR SUPPLIERS, BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA OR USE OR COST OF COVER) ARISING OUT OF OR RELATING TO THESE TERMS OR the Not  Your Average Entrepreneur EDUCATIONAL PROGRAM, OR THAT RESULT FROM YOUR USE OR THE INABILITY TO USE the Not  Your Average Entrepreneur MATERIALS AND USER SUBMISSIONS ON the Not  Your Average Entrepreneur SITE OR ANY REFERENCE SITES, the Not  Your Average Entrepreneur SITE ITSELF, OR ANY OTHER INTERACTIONS WITH Not Your Average Entrepreneur, EVEN IF Not Your Average Entrepreneur OR A Not Your Average Entrepreneur AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Limitation of Damages.
  • IN NO EVENT SHALL Not Your Average Entrepreneur OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, OR THIRD PARTY PARTNERS, LICENSORS OR SUPPLIERS’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF the Not  Your Average Entrepreneur SITE (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, OR OTHERWISE) EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100 USD) OR FEES (IF ANY) PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Limitations by Applicable Law; Basis of the Bargain

  • YOU ACKNOWLEDGE AND AGREE THAT Not Your Average Entrepreneur HAS OFFERED ITS PRODUCTS AND SERVICES, INCLUDING, IF APPLICABLE, ENROLMENT IN the Not  Your Average Entrepreneur EDUCATIONAL PROGRAM, AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND NOT YOUR AVERAGE ENTREPRENEUR, AND THAT THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND NOT Your Average Entrepreneur.
  • YOU ACKNOWLEDGE AND AGREE THAT Not Your Average Entrepreneur WOULD NOT BE ABLE TO PROVIDE the Not  Your Average Entrepreneur SITE TO YOU OR, IF APPLICABLE, OFFER YOU ENROLMENT IN THE NOT  YOUR AVERAGE ENTREPRENEUR EDUCATIONAL PROGRAM, ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

Digital Millennium Copyright Act Compliance

  • If the parties cannot settle the dispute by mediation, the dispute shall adjudicated in accordance with Section 24.C.(i); (i) The Parties hereby irrevocably and unconditionally (a) agree that any action or proceeding arising out of or in connection with these Terms, the Not  Your Average Entrepreneur Site and/or the Not Your Average Entrepreneur educational program shall be brought only in the Chancery Court of the State of Delaware (the “ Delaware Court ”), and not in any other state or federal court in the United States of America or any court in any other country; (b) consent to submit to the exclusive jurisdiction of the Delaware Court for purposes of any action or proceeding arising out of or in connection with these Terms, the Not  Your Average Entrepreneur Site and/or the Not Your Average Entrepreneur educational program; (c) waive any objection to the laying of venue of any such action or proceeding in the Delaware Court; and (d) waive, and agree not to plead or to make, any claim that any such action or proceeding brought in the Delaware Court has been brought in an improper or inconvenient forum.

Waiver.

  • A provision of these Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision.

Entire Agreement

  • These terms and any applicable written agreement executed by you AND Not  Your Average Entrepreneur in connection with the Not  Your Average Entrepreneur educational program constitute the entire agreement between you AND Not  Your Average Entrepreneur relating to the subject matter herein and supersedes all previous communications, representations, understandings and agreements, either oral or written, between the parties with respect to said subject matter.
  • These Terms shall not be modified except in a writing, signed by both parties, or by a change to these Terms or Guidelines made by Not Your Average Entrepreneur as set forth in Section 3 above.
